Terms of Service

These Terms of Service govern the use of the 7ankyou app and service by merchants. 7ankyou connects Shopify stores into a fair cross-promotion ring: after a purchase, the customer sees coupons from other, non-competing stores; in return, the merchant's own offer appears on the thank-you pages of those stores.
1. Scope and contracting parties
These Terms govern the use of the 7ankyou service (the "Service"), provided by OmniMain GmbH, Halbmondstr. 2, 74072 Heilbronn, Germany ("we" or "OmniMain").
The Service is directed exclusively at businesses (Shopify merchants), not at consumers. Deviating or supplementary terms of the merchant do not become part of the contract unless we expressly agree to them.
2. Description of the service
7ankyou is a cross-promotion network for Shopify stores. The Service includes in particular:
- displaying a thank-you teaser with coupons from other, non-competing stores after a purchase in the merchant's store
- showing the merchant's offer on the thank-you pages of other participating stores
- a dashboard to manage offers, categories and teaser style and to review reach
The Service is provided through the Shopify App Store and embedded into the merchant's Shopify environment. The specific scope of functions follows from the current version of the Service at any given time.
3. Conclusion of contract
The contract for the use of the Service is concluded upon installation of 7ankyou in the merchant's Shopify store. By installing, the merchant accepts these Terms.
4. No charge
The Service is currently provided free of charge. There is no claim to permanent free provision. We will announce the introduction of paid features or a change of the scope of services with reasonable notice; paid services require the merchant's separate consent.
5. Merchant obligations
The merchant undertakes to:
- provide correct and up-to-date information about its offers, industry and country
- only submit lawful, non-misleading offers and not use any infringing content (in particular trademark, copyright or unfair-competition violations)
- honour and fulfil the coupons and offers it submits towards the end customers itself
- comply with applicable law and with Shopify's terms of use
The merchant indemnifies OmniMain against third-party claims arising from a culpable breach of these obligations.
6. Rights to the merchant's content
The merchant grants OmniMain the non-exclusive, geographically unlimited and revocable right to use and reproduce its offers as well as the associated brand, name and logo data for the purpose of displaying them in the 7ankyou network (teaser, coupon ring, go.7ankyou.com) for the duration of the contract. The merchant warrants that it holds the rights required for this.
7. Offers of other merchants
The ring displays offers of other merchants to the end customer. The respective offering merchant alone is responsible for these third-party offers, their accuracy and their redemption. In this respect OmniMain merely acts as an intermediary and assumes no warranty for third-party offers.
8. Availability
We strive for high availability of the Service. As the Service is provided free of charge, however, we do not owe any specific availability. Maintenance, disruptions and changes to the Shopify platform may lead to temporary restrictions.
9. Liability
As the Service is provided free of charge, we are liable only for intent and gross negligence as well as under the German Product Liability Act and for injury to life, body or health. In the case of slightly negligent breach of a material contractual obligation, liability is limited to the foreseeable damage typical for this type of contract.
Any further liability is excluded to the extent permitted by law. In particular, we are not liable for lost profits, for reach that fails to materialise, or for the offers and conduct of other merchants in the network.
10. Data protection
Information on the processing of personal data can be found in our privacy policy.
11. Term and termination
The contract is concluded for an indefinite period. Either party may terminate it at any time without notice; the merchant by uninstalling the app from its Shopify store. Upon termination, the merchant's offers are removed from the network. The deletion of data is governed by the privacy policy and Shopify's requirements.
12. Changes to these Terms
We may amend these Terms with effect for the future, for instance when the Service is developed further or the legal situation changes. We will inform the merchant of material changes in an appropriate manner. If the merchant continues to use the Service after the change takes effect, the amended Terms are deemed accepted.
13. Final provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction for disputes with merchants, legal entities under public law or special funds under public law is the registered seat of OmniMain.
Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions remains unaffected.
